• Winebeforenoon.com will not entertain any last-minute requests for new videos. We need 15 days prior notification from our clients for their new short video requirements for example change in plan as we have alignment for various pipeline projects.

• Any estimate of the date by which Winebeforenoon.com will complete any part of the Services is contingent upon you providing complete instructions to Winebeforenoon.com and fully cooperating with Winebeforenoon.com until Winebeforenoon.com has ceased providing Services to you. Winebeforenoon.com will not be liable for any delays which are beyond the scope of Winebeforenoon.com such as equipment failure or third-party delays or, any other reason which is not the direct fault of Winebeforenoon.com. If you fail to pay a milestone in the specified time period, Winebeforenoon.com reserves the right to stop the production process without any obligations toward you.

• You will receive high-quality audio and video files after the completion of the production.

• Raw Footage, source files, video files, audio files, and edited files will not be retained by Winebeforenoon.com. You’re requested to collect them from your assigned manager before approving their project. 

• The Raw materials, video files, audio files, and edited video files remain the property of Winebeforenoon.com until full payment is made for the Services. Where Services remain unpaid or if the final agreed payment is not made, Winebeforenoon.com reserves the right to withhold all recordings and finished works and use all or portions of the recordings and finished works.

• When the work is delivered by Winebeforenoon.com, and subject to payment, you are granted all intellectual property rights, including but not limited to, copyright in the work delivered by Winebeforenoon.com, and Winebeforenoon.com waives any and all moral rights therein. Accordingly, Winebeforenoon.com expressly assigns you the copyright in the delivered work. All transfer and assignment of intellectual property to you shall be subject to full payment and the delivery may not be used if payment is cancelled for any reason. 

• In no event will Winebeforenoon.com, its affiliates or their licensors, service providers, employees, agents, or directors be liable for damages of any kind, under any legal theory, arising out of or in connection with your use, or inability to use, the site, any websites linked to it, any content on the site or such other websites or any services or items obtained through the site or such other websites, including any direct, indirect, special, incidental, consequential or punitive damages, including but not limited to, personal injury, pain and suffering, emotional distress, loss of revenue, loss of profits, loss of business or anticipated savings, loss of use, loss of goodwill, loss of data, and whether caused by tort (including negligence), breach of contract or otherwise, even if foreseeable. If you fail to send a response for any queries or feedback within 10 working days, Winebeforenoon.com will automatically consider the project as complete and you will be liable to pay the remaining amount of your order or invoices.

• This agreement and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with it or its subject matter or formation shall be governed by and construed under the laws of India.
